Vice Software will agree to pay a referral fee for each new, unique client referral that results in an executed business agreement. The terms of this referral fee are listed below:

• Vice Software will pay a 4% referral fee each quarter for up to 12 months following the execution date of a business agreement with the newly-referred client.
• In addition, Vice Software also agrees to pay a 2% referral fee each quarter for up to 12 months following the execution date of any additional, new, subsequent business agreement with the newly-referred client within the first 12 months of the initial engagement following the execution date of the original business agreement.
• Payment of the referral fee is contingent on receipt of payment from the newly-referred clients.
• Referral fee payments are made in net 30 terms.
